Welcome to Raisedash ("Raisedash," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the website at https://raisedash.com (the "Site"), our mobile applications ("App"), dashboards, and any related services, features, or content (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our Services.

1. Eligibility and Account Registration

1.1 Eligibility. You must be at least 18 years old. By using the Services, you represent that you have authority to bind any organization for which you act.

1.2 Account Creation. To access certain features, you must register an account. You agree to (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; and (c) keep login credentials secure. You are responsible for all activity under your account.

2. Description of Services

Raisedash provides digital tools for Driver Vehicle Inspection Reports (DVIR) and Pre‑Trip Inspections (PTI), including mobile checklists, photo/video attachments, real‑time dashboards, alerting, and compliance tracking ("Inspection Tools"). We may also offer integrations with telematics, maintenance, and enterprise systems.

3. License and Restrictions

3.1 License Grant. Subject to your compliance, we grant you a limited, revocable, non‑exclusive, non‑transferable license to use the Services for internal business purposes.

3.2 Restrictions. You shall not (a) copy, modify, or reverse-engineer the Services; (b) use the Services to develop competing products; (c) access the Services by automated means without permission; (d) interfere with, damage, or overload the Services; or (e) remove or obscure any proprietary notices.

4. Fees and Payment

4.1 Subscription Plans. Certain features may require payment of fees under a subscription plan. All fees are quoted in U.S. dollars and non‑refundable except as required by law.

4.2 Changes. We may change fees upon 30 days' notice. Continued use after fee changes constitutes acceptance.

4.3 Payment. You authorize continuous billing of periodic fees until you cancel. You are responsible for providing valid payment information and for all charges incurred.

5. User Content and Data

5.1 Ownership. You retain all rights in data you submit through the Services ("Your Data").

5.2 License to Use Data. You grant us a worldwide, royalty‑free license to host, store, and display Your Data solely to provide and improve the Services.

5.3 Privacy and Security. We implement reasonable administrative, technical, and physical safeguards to protect Your Data.

6. Acceptable Use

You agree not to:

• Use the Services unlawfully or to violate third‑party rights;
• Transmit malware or harmful code;
• Access other users' accounts or data without authorization;
• Engage in harassment, hate speech, or prohibited content;
• Circumvent any technical restrictions.

7. Third‑Party Services and Links

The Services may integrate or link to third‑party products, websites, or APIs. We do not endorse and are not responsible for third‑party content, terms, or privacy practices.

8. Intellectual Property

All intellectual property rights in the Services (including software, designs, trademarks, and content) are owned by Raisedash or licensors. Except for the license granted herein, we reserve all rights.

9. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason with notice. Upon termination, your right to use the Services ceases, but Sections 5 (limited), 8, 10, 11, 12, and 13 will survive.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED, RAISEDASH AND ITS AFFILIATES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM THESE TERMS OR THE SERVICES. OUR AGGREGATE LIABILITY DOES NOT EXCEED THE FEES PAID BY YOU IN THE PRIOR 12 MONTHS.

12. Indemnification

You agree to indemnify and hold harmless Raisedash and its affiliates and licensors against claims arising from your use of the Services or violation of these Terms.

13. Governing Law; Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without conflict principles. Disputes shall be resolved by binding arbitration in Philadelphia under AAA rules, except for small‑claims court matters.

14. Changes to Terms

We may update these Terms. We will notify you by posting a revised effective date. Continued use constitutes acceptance.
